1. Definitions
- Client: Any individual or business that enters into an agreement with Saatatya for provision of IT / digital / development / marketing services.
- Services: The digital, development, marketing, maintenance, or related services provided by Saatatya as defined in the Statement of Work (SOW) or contract.
- Deposit / Advance: Any up-front payment made by the Client to initiate work.
- Termination: Ending of the contract / agreement before completion of all Services.
2. Cancellation by Client
a) Before Work Begins
If the Client cancels the Services before any work has begun, the following will apply:
- The Client may receive a refund of any payments made, minus any non-refundable expenses incurred by Saatatya (e.g. third-party licenses, pre-paid software, domain or hosting costs, etc.).
- If a deposit was taken, a portion may be retained by Saatatya as per the agreed upon deposit terms (if specified in the SOW or contract).
b) After Work Has Started but Before Completion
If the Client cancels after work has commenced but before final delivery:
- The Client will be liable to pay for all Services rendered up to the cancellation date, plus any non-refundable costs.
- Saatatya may retain the deposit (or a portion thereof) to cover work already done, plus recovery of any non-recoverable expenses.
- Any outstanding balance due to Saatatya must be settled within [x] days of cancellation date.
3. Cancellation by Saatatya
- Saatatya may cancel the Services if the Client breaches contract terms, fails to provide required information, materials, or approvals in a timely manner, or otherwise impedes progress.
- In such event, the Client will be responsible for payment for all work done up to the cancellation date and any irrecoverable costs.
- If possible and at Saatatya’s discretion, unused portions of payments (after deducting costs and work done) may be refunded to the Client.
4. Notice and Procedure
- Cancellation by either party must be in writing (email is acceptable) and must specify the date of cancellation.
- Upon receiving a cancellation notice, Saatatya will stop work in progress (unless otherwise agreed).
- Saatatya will provide the Client with an invoice for all work completed plus any applicable cancellation fees or retained deposit, within [X] business days after notice.
5. Refunds
- Any refunds due will be processed within [X] business days of final agreement of what’s owed (or due).
- Refunds will be issued via the same payment method originally used, unless otherwise agreed.
- Any bank transfer or payment processing fees arising due to refund will be borne by the Client (unless Saatatya agrees otherwise).
6. Rescheduling / Postponement
- If the Client requests a delay in the start date of Services (after contract is signed), Saatatya may agree; however, depending on the delay period, additional fees or re-quotation may apply.
- For project services with milestones or phased delivery, postponement of future phases may be agreed upon, but charges may apply to hold or reserve resources.
7. Non-Refundable & Non-Cancelled Items
Some fees are non-refundable or non-cancellable once incurred. Examples:
- Third-party licenses / software / domain registration / hosting fees once purchased.
- Custom design work or deliverables already approved by Client.
- Costs of resources allocated specifically for the Client that cannot be re-used or re-allocated.
8. Dispute Resolution
- Any dispute arising from cancellation, fees, or refunds will first be addressed by mutual discussion between Client and Saatatya.
- If unresolved, the matter may be escalated under the contract’s dispute resolution clause (e.g. mediation, arbitration, or legal jurisdiction as per the agreement).
9. Amendments to this Policy
Any changes will be posted on the website, and the version in effect at the time of Client’s engagement (or contract signing) will apply.
Saatatya reserves the right to amend this Cancellation Policy at any time.
